1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and NIwestpro Limited (“we”, “us”, or “our”), concerning your access to and use of our website and our construction material supply services. By accessing the site, you agree that you have read, understood, and agree to be bound by all of these Terms of Service.

2. Quotes and Pricing

Our platform operates on a quote-request system. Please note the following regarding our pricing and quotes:

• Non-Binding Requests: Submitting a quote request via our website does not constitute a legally binding contract of sale.
• Validity: Unless otherwise stated in writing, any official quote provided by NIwestpro Limited is valid for three (3) business days from the date of issuance due to potential market and foreign exchange fluctuations in Nigeria.
• Final Invoice: An order is only confirmed once an official Pro-Forma Invoice is issued and the required payment deposit is confirmed in our designated corporate bank accounts.

3. Product Specifications and Usage

We supply high-grade construction materials. While we strive for accuracy, actual product colors, textures, and dimensions may vary slightly from the high-resolution images displayed on our website. It is the buyer’s responsibility to ensure the materials requested meet the specific structural and architectural requirements of their project.

4. Delivery and Logistics

To ensure smooth delivery of bulk materials, the following terms apply:

• Site Access: You must ensure that the delivery site is accessible by heavy-duty trucks and equipment. Any delays or failed deliveries caused by inaccessible roads or unprepared sites will incur additional logistics charges.
• Inspection on Delivery: All materials must be inspected upon delivery. Any claims for shortages, defects, or damages must be reported to our logistics team on-site and documented on the delivery waybill.
• Risk of Loss: The risk of loss or damage to materials passes to the buyer immediately upon offloading at the designated delivery site.

5. Limitation of Liability

In no event shall NIwestpro Limited, its directors, employees, or logistics partners be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or construction project delays arising from your use of the site or our materials. Our total liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us for the specific materials in dispute.

6. Governing Law and Dispute Resolution

These Terms shall be governed by and defined following the laws of the Federal Republic of Nigeria. In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Lagos, Nigeria.
